Terms of Agreement

1. Acceptance of Terms
By accessing or using the website and services of Warehouse 13 Media ("Company," "we," "us"), located in Oklahoma City, Oklahoma, you agree to be bound by these Terms of Agreement. If you do not agree to these terms, do not use our services.
2. Services
Warehouse 13 Media provides website design, development, hosting, SEO, social media management, and digital marketing services for small businesses. Specific services, deliverables, and timelines are outlined in the applicable Service Contract and selected package (Launch, Grow, Thrive, or Enterprise).
3. Payment Terms
All payments are processed through Stripe. By purchasing a package, you agree to the following:
- One-Time Flat Price: One‑time flat prices are due at the time of purchase and are non‑refundable once work has begun.
- Monthly Subscriptions: Website Care Plan (WCP) and Website Essentials Plan (WEP) subscriptions are billed monthly. The first billing occurs at the time of purchase.
- Late Payments: Accounts with unpaid balances may result in service suspension, including website takedown, after 15 days past due.
- Price Changes: We reserve the right to adjust subscription pricing with 30 days' written notice.
4. Subscription Terms
Monthly subscriptions (WCP, WEP) automatically renew each billing cycle. You may cancel at any time by providing written notice at least 7 days before the next billing date. Cancellation takes effect at the end of the current billing period. No partial refunds will be issued for the current billing cycle.
5. Cancellation Policy
- One‑time flat prices are non‑refundable once design or development work has commenced.
- Monthly subscription cancellations must be submitted in writing (email to info@warehouse13media.com).
- Upon cancellation of all services, website hosting will be terminated at the end of the billing period. Clients may request a backup of their website files.
- Enterprise clients must provide 30 days' written notice for cancellation of any ongoing monthly plan.
6. Digital Product Delivery
Websites and digital marketing deliverables are provided electronically. Upon completion of a website, the client will receive a live URL. Delivery constitutes fulfillment of the digital product. Revisions beyond the scope of the selected package are subject to additional charges.
7. Client Responsibilities
Clients are responsible for:
- Providing timely content, images, and feedback for website projects
- Ensuring accuracy of information submitted for publication
- Maintaining the confidentiality of account login credentials
- Complying with all applicable laws regarding their own business content
8. Intellectual Property
Custom website designs created by Warehouse 13 Media become the property of the client upon full payment. Third‑party assets (stock images, plugins, fonts) are licensed under their respective terms. The Company retains the right to showcase completed work in its portfolio unless the client opts out in writing.
9. Limitation of Liability
To the maximum extent permitted by Oklahoma law, Warehouse 13 Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services. Our total liability for any claim shall not exceed the amount paid by the client in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Warehouse 13 Media, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your content, or your breach of these terms.
11. Dispute Resolution
Any disputes arising from these Terms shall first be addressed through good‑faith negotiation. If unresolved, disputes shall be settled through binding arbitration in Oklahoma County, Oklahoma, under the rules of the American Arbitration Association. The prevailing party may recover reasonable attorney fees.
12. Governing Law
These Terms of Agreement are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict of law principles. Exclusive jurisdiction and venue for any legal proceedings shall be in the courts of Oklahoma County, Oklahoma.
13. Modifications
We reserve the right to modify these terms at any time. Changes will be posted on this page and take effect immediately. Continued use of our services constitutes acceptance of revised terms.
